Mining Corporate Pty Ltd (Mining Corporate) provides various services in relation to corporate compliance and governance for listed and non-listed entities.
Initial Public Offerings (IPO)
Mining Corporate provides Companies, to the extent appropriate, with financial and corporate advice and assistance in the connection with their IPO, including:
- management of initial public offerings;
- engagement of independent experts for the purpose of providing reports for inclusion in the Prospectus;
- acting as a member of the Due Diligence Committee to ensure any significant items of interest to the Company which are identified are communicated effectively to the Company’s Board;
- liaising with and co-ordination of lawyers and independent experts to minimise costs and avoid duplication;
- liaising with and co-ordination of ASIC and ASX matters arising as part of the initial public offering;
- preparation of and reviewing the prospectus for the capital raising;
- providing the Company with continuing support and advice as is necessary; and
- such other services as are mutually agreed to be appropriate in the circumstances.
Company Secretarial and Corporate Compliance/Governance
Mining Corporate provides corporate services facilitating compliance with the financial and company secretarial obligations of the Company (and any subsidiaries), including but not limited to requirements to implement and maintain the Company’s listing on ASX, financial reporting obligations, and any ASIC requirements of the Company or any subsidiaries of the Company.
Mining Corporate does not provide any legal, accounting, regulatory or tax advice to the Company which relies solely upon its own experts for those purposes, although Mining Corporate may assist the Company in coordinating the obtaining of such advice. Mining Corporate will be entitled to rely on the advice and any information provided to the Company by the Company’s other advisers.
